Terms of Service

These Terms of Service (“Agreement”) govern the use of the Sponsora platform (“Platform”) by its users (“Users”). By accessing or using the Platform, Users agree to be bound by these terms and conditions. These documents may be periodically updated to reflect our company policies, operations and procedures.

1. Account Creation

a. Users must create an account to access the Platform.

b. Users must provide accurate and complete information during the registration process. c. Users are responsible for maintaining the security of their account credentials.

 

2. Use of the Platform

a. The Platform facilitates connections between brands and creators for sponsorship opportunities.

b. Users may use the Platform to create, manage, and promote sponsorship campaigns. c. Users are solely responsible for the content they post on the Platform.

 

3. Sponsorship Agreements

a. Users may enter into sponsorship agreements through the Platform.

b. The terms of each sponsorship agreement, including payment terms and deliverables, are to be negotiated and agreed upon by the involved parties.

c. Sponsora is not a party to any sponsorship agreement and does not guarantee the performance or fulfillment of any obligations by the Users.

d. Users must adhere to all laws and regulations set in place by their local and extended governments in regards to conducting sponsorship deals and branded content. This may include denoting content is indeed a paid advertisement for a mutual party [Brand]

 

4. Payment and Fees

a. Brands are responsible for paying the agreed-upon sponsorship fees to the creators.

b. Sponsora does not process payments and is not responsible for any payment disputes between Users.

c. In the event of non-payment or disputes, Users should attempt to resolve the issue amongst themselves. In the event that of no amicable resolve, Sponsora may investigate both parties and come to a solution at our discretion.

 

5. Limitation of Liability

a. Sponsora strives to provide a reliable and secure platform, but it does not guarantee uninterrupted or error-free operation.

b. Sponsora shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of the Platform.

c. Sponsora’s total liability shall not exceed $50 in any event.

 

6. Intellectual Property

a. Users retain ownership of their intellectual property rights.

b. By posting content on the Platform, Users grant Sponsora a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute the content for promotional purposes. 

c. By entering agreements with brands on the platform, Users grant mutual Brands a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute the content for promotional purposes unless otherwise agreed upon or stated. When no other exclusivity rights or clauses have been presented and subsequently agreed upon, Users assume and grant afforementioned non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute the content for promotional purposes for the Brand.

 

7. Termination

a. Either party may terminate this Agreement at any time without cause.

b. Sponsora reserves the right to terminate or suspend User accounts for violation of these terms or any illegal or inappropriate activities.

 

8. Governing Law and Jurisdiction

a. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].

b. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in [Jurisdiction].

 

9. Prohibited Content

a. Users are prohibited from uploading, posting, or sharing any content that is harmful, offensive, or violates applicable laws and regulations.

b. Prohibited content includes, but is not limited to, the following:

i. Content that promotes violence, discrimination, or hatred based on race, ethnicity, religion, gender, sexual orientation, or any other protected characteristic.

ii. Content that contains explicit or graphic material, including nudity, pornography, or sexually explicit content.

iii. Content that infringes upon the intellectual property rights of others.

iv. Content that contains viruses, malware, or any other malicious code.

v. Content that violates any applicable laws, regulations, or legal obligations.

c. Sponsora reserves the right to remove or block any content that violates these terms and to take appropriate action against the User, including termination of their account.

d. Users are solely responsible for the content they upload or share on the Platform and shall indemnify and hold Sponsora harmless from any claims or damages arising out of the violation of this section.

 

10. Anti-Spam and Harassment Policy

a. Users are prohibited from engaging in any form of spamming or harassment on the Sponsora platform.

b. Spamming includes, but is not limited to, the following activities:

i. Sending unsolicited promotional or marketing messages to other users.

ii. Posting repetitive, irrelevant, or excessive content with the intent to disrupt or annoy others.

iii. Using automated scripts or bots to generate spam messages or engage in any form of malicious activity.

c. Harassment includes, but is not limited to, the following activities:

i. Engaging in abusive, threatening, or intimidating behavior towards other users.

ii. Posting or sharing content that is defamatory, derogatory, or offensive towards others.

iii. Stalking, bullying, or engaging in any form of personal attacks.

d. Sponsora maintains a zero-tolerance policy for spamming and harassment and reserves the right to take appropriate action, including account suspension or termination, in response to such activities.

e. Users are encouraged to report any instances of spamming or harassment they encounter on the platform. Sponsora will promptly investigate and take necessary actions based on the reported incidents.

f. Sponsora is committed to providing a safe and respectful environment for all users. Any violation of this section will not be tolerated, and the responsible User may be subject to legal consequences.

 

11. Fair Data Usage

a. Sponsora values the privacy and data protection rights of its users. We are committed to ensuring fair and responsible data usage practices.

b. Users are required to comply with the following guidelines regarding data usage:

i. Users shall only collect, access, and use data from the Sponsora platform in a lawful and ethical manner.

ii. Users shall not misuse or abuse any personal or confidential information obtained through the platform.

iii. Users shall not engage in data scraping, data mining, or any automated means to extract data from the platform without proper authorization.

iv. Users shall respect the privacy and consent of individuals whose data they may have access to through the platform.

v. Users shall handle any personal or sensitive information obtained through the platform in accordance with applicable data protection laws and regulations.

c. Sponsora reserves the right to monitor and investigate any suspected misuse or unauthorized access of data on the platform.

d. Sponsora may collect and process user data in accordance with its Privacy Policy. By using the platform, users consent to the collection, storage, and processing of their personal information as outlined in the Privacy Policy.

e. Sponsora implements reasonable security measures to protect user data from unauthorized access, loss, or alteration. However, users acknowledge that no system is entirely secure, and Sponsora cannot guarantee the absolute security of user data.

f. Users are responsible for maintaining the confidentiality of their account credentials and are advised not to share their login information with others.

g. Sponsora shall not be liable for any damages, losses, or liabilities arising from unauthorized access to or use of user data, except where such access or use results directly from the negligence or intentional misconduct of Sponsora.

h. Users are encouraged to review the Privacy Policy for more information regarding data collection, storage, and processing practices on the Sponsora platform.

 

12. Fair Tech Usage

a. Sponsora provides a platform for users to connect, collaborate, and engage with each other. To ensure fair and responsible usage of the platform’s technology, users are required to adhere to the following guidelines:

i. Users shall not misuse the platform as a storage or backup service. The platform is intended for the purpose of facilitating connections and collaborations between brands and creators, and it should not be used as a primary storage location for large files or data.

ii. Users shall not upload or distribute content that exceeds the storage limits or strains the platform’s infrastructure.

iii. Users shall not engage in any activity that may disrupt or interfere with the proper functioning of the platform, including but not limited to the introduction of viruses, malware, or other harmful code.

iv. Users shall not attempt to bypass or manipulate the platform’s security measures or access areas of the platform they are not authorized to access.

v. Users shall not engage in any activity that violates intellectual property rights, including unauthorized use, reproduction, or distribution of copyrighted materials.

b. Sponsora reserves the right to monitor user activity on the platform to ensure compliance with these guidelines.

c. Sponsora shall not be held responsible for any loss of data or damages resulting from the misuse or abuse of the platform’s technology by users.

d. Users are responsible for maintaining the security and confidentiality of their account credentials and are advised not to share their login information with others.

e. Sponsora may impose reasonable restrictions on data storage and usage to maintain the overall performance and integrity of the platform.

f. Sponsora reserves the right to suspend or terminate user accounts that violate these fair tech usage guidelines or engage in activities that pose a threat to the platform’s stability, security, or functionality.
